These Terms of Service (“Terms”) govern your access to and use of TaskerAI (the “Service”), operated by Saphron (“Saphron”, “we”, “us” or “our”) at taskerai.saphron.tech. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorized use of your account.

2. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. You agree not to:

use the Service in violation of any applicable law or regulation;
access, tamper with or use non-public areas of the Service or our systems without authorization;
probe, scan or test the vulnerability of the Service, or breach any security or authentication measures;
interfere with or disrupt the integrity or performance of the Service;
reverse engineer or attempt to extract the source code of the Service, except as permitted by law; or
upload or transmit malicious code, or content that is unlawful, infringing or harmful.

3. Your Content

You retain all ownership rights in the projects, tasks, brainstorms, comments and other content you create or submit through the Service (“Your Content”). You grant us a limited license to host, store, process and display Your Content solely as necessary to provide and improve the Service. You are responsible for Your Content and for ensuring you have the rights necessary to submit it.

4. AI Features

The Service includes AI-assisted and agent features. AI-generated output may be inaccurate or incomplete, and you are responsible for reviewing and verifying it before relying on it. You are responsible for the content you choose to submit to AI features and for your use of any output.

5. Third-Party Services

The Service integrates with third-party services, including Google Sign-In for authentication and Stripe for payment processing. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services. Our handling of data obtained through Google Sign-In is described in our Privacy Policy.

6. Subscriptions & Payment

Some features of the Service require a paid subscription. Fees, billing cycles and plan details are presented at the time of purchase. Subscriptions renew automatically unless cancelled before the end of the current billing period. Except as required by law, fees are non-refundable. We may change our fees on a prospective basis with reasonable notice.

7. Free Trials

We may offer free trials. Unless you cancel before the trial ends, your subscription may convert to a paid plan and the applicable fees will be charged. We reserve the right to modify or discontinue trials at any time.

8. Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPHRON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Saphron and its officers, employees and agents from any claims, liabilities, damages and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service.

13. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
